eLearning Terms and Conditions Online Purchase

1. About YarnnUp and the Services

1.1 YarnnUp Pty Ltd (ABN 38 629 388 610) is an Aboriginal-owned cultural change agency and consultancy providing cultural capability training and related services.

1.2 The eLearning services provide professional training, tools, and resources for cultural capability and organisational change, but YarnnUp does not implement your internal actions or organisational changes.
1.3 The success of any training depends on your organisation’s participation, resourcing, and ongoing commitment.

2. Access, Use and Payment

2.1 Access to the eLearning platform is granted for the period and number of users specified at the time of purchase or as otherwise stated on the checkout page.

2.2 You must not share logins beyond the authorised users or use the platform in a way that is unlawful, harmful, or inconsistent with these Terms.

2.3 All fees are payable in Australian dollars and must be paid in full at the time of purchase unless stated otherwise; access may be suspended or withdrawn if payment is not received.

3. Intellectual Property and Cultural IP

3.1 All Intellectual Property in the eLearning platform, including all content, modules, videos, text, graphics, methodologies, and frameworks (including YarnnUp’s Trilogy of Transformational Learning and Ancestral Intelligence Framework, neuro-cultural mindset, localisation practices, and two ways of knowing approaches) is owned by YarnnUp or its licensors.

3.2 You are granted a limited, non-exclusive, non-transferable licence for the access period purchased to use the eLearning materials internally within your organisation for training and development purposes only.

3.3 You must not copy, reproduce, adapt, modify, distribute, commercialise, or create derivative works from any YarnnUp materials, nor deliver training or courses based on YarnnUp materials, except as expressly permitted under these Terms or with YarnnUp’s prior written consent.

3.4 Indigenous Cultural and Intellectual Property (ICIP) and Indigenous Data contained in the eLearning content remain the rights of the relevant Aboriginal and Torres Strait Islander peoples and traditional custodians; you must not use any ICIP or Indigenous Data from the platform for any purpose beyond the specific internal learning use authorised under these Terms.

3.5 You must not alter the cultural meaning of any ICIP, and you must not extract ICIP or YarnnUp’s Cultural Intellectual Property for separate use, repurposing, or commercialisation.
